This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "You") and GeoCatch ("Licensor," "We," or "Us") governing your use of the GeoCatch mobile application and related services (the "Licensed Application"). By downloading, installing, or using the Licensed Application, you agree to be bound by this Agreement. If you do not agree, do not download, install, or use the Licensed Application.

1. License Grant

Licensor grants you a non-exclusive, non-transferable, revocable license to use the Licensed Application on any device that you own or control, solely for personal and non-commercial purposes, and strictly as permitted under this Agreement and any applicable usage rules or guidelines provided by the app marketplace from which you downloaded the Licensed Application.

2. Restrictions

You may not:

  • Copy, distribute, or sublicense the Licensed Application, except as expressly permitted in this Agreement.

  • Modify, reverse-engineer, decompile, or attempt to extract the source code of the Licensed Application, except as permitted by applicable law.

  • Use the Licensed Application in any unlawful or unauthorized manner, including, but not limited to, using the Licensed Application to harass, defame, or violate the rights of others.

  • Share or make the Licensed Application available over a network where it could be used by multiple devices simultaneously.

  • Sell or transfer the Licensed Application to a third party without removing it from your device.

3. Consent to Data Collection and Use

By using the Licensed Application, you consent to the collection and use of technical and usage data by Licensor, as outlined in our Privacy Policy. This includes, but is not limited to, technical information about your device, system, and application software, gathered to improve our services. Data collected will not personally identify you unless you provide explicit consent.

4. Termination

This Agreement is effective until terminated by you or Licensor. Licensor may terminate this Agreement at any time without notice if you fail to comply with its terms. Upon termination, you must cease all use of the Licensed Application and delete all copies from your device.

5. Third-Party Services

The Licensed Application may provide access to third-party websites or services ("External Services"). Your use of External Services is subject to the terms and conditions of those third parties, and Licensor is not responsible for the content, accuracy, or functionality of such services. Use them at your own risk.

6. No Warranty

THE LICENSED APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE LICENSED APPLICATION WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE LICENSED APPLICATION. IN NO EVENT SHALL LICENSOR’S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE LICENSED APPLICATION.

8. Export Restrictions

You agree to comply with all applicable export and re-export laws and regulations. You represent and warrant that you are not located in a country subject to U.S. government embargoes or listed on any U.S. government restricted-party lists.

9. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Wyoming, excluding its conflict of law principles. Any disputes arising under or in connection with this Agreement shall be resolved in the courts of Wyoming, and you consent to the exclusive jurisdiction of such courts.

10. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11. Amendments

Licensor reserves the right to modify this Agreement at any time. Continued use of the Licensed Application after any modifications constitutes your acceptance of the updated terms.

By downloading or using the Licensed Application, you acknowledge that you have read, understood, and agree to be bound by this End User License Agreement.
